These Terms of Use ("Terms") govern your access to and use of Openmelo, including its website, dashboard, software, phone services, and related features (collectively, the "Service"). Openmelo is owned and operated by Grounding LLC ("Grounding," "we," "us," or "our").
By accessing or using the Service, you agree to be legally bound by these Terms. If you do not agree, you may not access or use the Service.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use Openmelo. By using the Service, you represent and warrant that you meet these requirements.
2. Description of the Service
Openmelo provides an AI-powered phone receptionist and real-time translation dashboard for businesses. Features may include, but are not limited to:
- AI-answered phone calls
- Real-time transcription and translation
- Call summaries and structured data extraction
- Suggested responses displayed in a dashboard
- Call logs, transcripts, and analytics
No SMS messages are sent to callers or users as part of the Service. All information is displayed and stored within the dashboard unless otherwise explicitly stated.
The Service is provided on an "as-is" and "as-available" basis and may change over time.
3. Account Registration and Responsibilities
To use Openmelo, you may be required to create an account. You agree to:
- Provide accurate and complete information
- Maintain the confidentiality of your login credentials
- Be fully responsible for all activity conducted through your account
You are responsible for ensuring that your use of the Service complies with all applicable laws, including call recording, consent, and privacy laws in your jurisdiction.
4. Acceptable Use
You agree not to use Openmelo to:
- Violate any applicable law or regulation
- Infringe on the rights of others
- Record or monitor calls without required consent
- Transmit unlawful, harmful, misleading, or abusive content
- Reverse engineer, scrape, or exploit the Service or its models
- Attempt to interfere with system integrity or security
Grounding LLC reserves the right to suspend or terminate access for violations of this section.
5. Call Recording, Transcription, and Translation Disclaimer
Openmelo may record, transcribe, and translate phone calls at the direction of the business user.
You acknowledge and agree that:
- You are solely responsible for obtaining all legally required consents
- Transcriptions and translations are generated by artificial intelligence and may contain errors or omissions
- The Service is intended as an assistive tool and not a substitute for human judgment
Grounding LLC does not guarantee the accuracy, completeness, or reliability of any transcription, translation, or AI-generated suggestion.
6. No Professional Advice
Openmelo does not provide legal, medical, financial, or professional advice. Any AI-generated suggestions or summaries are for informational purposes only and should not be relied upon as professional guidance.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how data is collected, stored, and processed.
Key points include:
- Call data, transcripts, and summaries may be stored in cloud infrastructure
- Data may be processed by third-party providers (e.g., telephony and AI services)
- Grounding LLC does not sell personal data
You retain ownership of your data, but you grant Grounding LLC a limited, non-exclusive license to process it solely for providing and improving the Service.
8. Intellectual Property
All intellectual property rights in Openmelo—including software, models, workflows, UI, branding, and documentation—are owned by or licensed to Grounding LLC.
You are granted a limited, non-transferable, non-exclusive, revocable license to use the Service in accordance with these Terms.
You may not copy, modify, distribute, or create derivative works without prior written consent.
9. Fees and Payments
Certain features of Openmelo may require payment. By purchasing a plan, you agree to:
- Pay all applicable fees
- Authorize us or our payment processor to charge your payment method
All fees are non-refundable unless otherwise required by law or explicitly stated in writing.
Grounding LLC reserves the right to change pricing with reasonable notice.
10. Suspension and Termination
We may suspend or terminate your access to Openmelo at any time if:
- You violate these Terms
- Your use poses legal, security, or operational risk
- Required by law or regulation
Upon termination, your license to use the Service immediately ends. Certain provisions (including limitation of liability and indemnification) will survive termination.
11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENMELO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
GROUNDING LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- GROUNDING LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES
- GROUNDING LLC'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO GROUNDING LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
Some jurisdictions do not allow certain limitations, so these limits may not apply to you in full.
13. Indemnification
You agree to indemnify, defend, and hold harmless Grounding LLC, its officers, directors, employees, and affiliates from any claims, damages, liabilities, and expenses arising out of:
- Your use of the Service
- Your violation of these Terms
- Your failure to comply with applicable laws (including call consent laws)
14. Third-Party Services
Openmelo integrates with third-party services (e.g., telephony, AI, and cloud providers). Grounding LLC is not responsible for outages, errors, or actions of third parties.
Your use of third-party services may be subject to separate terms.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Texas, and you consent to their jurisdiction.
16. Changes to These Terms
We may update these Terms from time to time. Continued use of Openmelo after changes become effective constitutes acceptance of the revised Terms.
